Work Schedule, Approvals & Payments

• The project shall start upon receiving the as-built documents from the First Party.
• The duration of each phase starts upon receiving the approval of the previous phase.
• The First party shall provide comments / approval within 5 days after the submission of each phase. In case of any modifications requested by the First Party, the Second Party shall modify the work schedule according to the time needed to submit the updated package.
• The design fees are subject to change in the event the Project exceeds the Design time schedule.
• The site surveying fees are to be covered by the First Party in case the AS IS drawings are not available or current. The Second Party shall hire a Surveyor for this task and bill the First Party accordingly from the Add on.
• Travel expenses to the project location should it be outside Cairo, Egypt which include accommodation expenses and airplane tickets. These trips require prior agreement from both parties.
• The Second Party holds the right to hold a photography session separately or jointly with the Fist Party to produce project documentation in photo or video format. These can be used for Second Party press releases or media coverage. The Second Party will mention the First Party’s identity in such coverage.

 

 

Contractor Relations

• Should the First Party propose a contractor to implement the project; the Contractor shall be vetted and approved by the Second Party. The contractor shall provide credentials and references to confirm that he is capable and qualified to work on such projects.
• The contractor shall be hired, paid and managed by the First Party except if otherwise agreed by both parties.
• The First Party and the contractor will adhere to specifications in detailed in the Construction Package which has been previously approved by both Parties.
• The Second Party has the full right to accept or reject any design related proposals by the First Party or the Contractor. Should the Second Party reject a proposal by the First party, the Second party shall provide alternative design solutions that adhere to the design integrity of the project and is acceptable to the First Party.
• In case of the First Party implements the Project on its own, it shall work according to the design set by the Second Party and respect all the design documents & design language. If for any reason there is any need for changes in the design, the First Party shall refer to the Second Party to receive written approval. Otherwise, the Second Party has the right to terminate this Design Contract & the Second Party will not recover the paid fees.

Termination:
Both Parties have the right to terminate the project at any time if the other Party fails to follow any of the agreed upon clause in this Design Contract.

In case of the project’s termination:

          . First Party shall pay all the fees for the completed phases

          . Second Party shall finalize and submit all drawings for the paid phases

          . A written (Email) notice shall be given 15 days in advance of the termination date.
